Item 8.01 Other Events. Notes Offering On August 12, 2021, SeaWorld Entertainment, Inc. (the "Company") issued a press release announcing that SeaWorld Parks & Entertainment, Inc. (the "Issuer"), a direct wholly-owned subsidiary of the Company, has commenced a private offering of $825.0 million senior notes due 2029 (the "Notes"). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
