Item 1.01. Entry into a Material Definitive Agreement. On August 10, 2021, Sunnova Energy International Inc. (the "Company") and its subsidiaries, Sunnova Energy Corporation ("SEC") and Sunnova Intermediate Holdings, LLC (the "Subsidiary Guarantor" and, together with the Company and SEC, the "Sunnova Entities") entered into a purchase agreement (the "Purchase Agreement") with BofA Securities, Inc., as representative of the several initial purchasers named therein (the "Purchasers").
