Item 5.03.Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On July 27, 2021, upon authorization of its board of directors, IRT filed Articles of Amendment (the "Amendment") to its Articles of Restatement (the "Articles") with the State Department of Assessments and Taxation of Maryland. The Amendment increases the total number of authorized shares of stock of IRT from 350,000,000 to 550,000,000, with the number of authorized shares of common stock increasing from 300,000,000 to 500,000,000 and the number of authorized shares of preferred stock of IRT remaining unchanged at 50,000,000.
